MISSION STATEMENT AND BYLAWS

CORPORATE SEAL

1. The Corporation (Association), at the discretion of the President, may obtain an official seal in accordance with the Corporations Canada Act and such seal shall be the seal of the Corporation.

HEAD OFFICE

2. Until changed in accordance with the Canada Corporations Act, the Head Office of the Corporation shall be in the Town of Pincher Creek, in the Province of Alberta.

MISSION STATEMENT

3. The RCAFPA mission is to:

A. promote and perpetuate the Air Force Police spirit through annual activities;

B. invest surplus RCAFPA funds for the benefit of the Association; and

C. conduct lawful activities that support and promote the RCAFPA mission. 

CONDITIONS OF MEMBERSHIP

4. Membership in the Corporation shall be limited to former Royal Canadian Air Force (RCAF) Air Force Police (AFP) persons, interested in fostering the Air Force Police spirit and its comradeship through annual activities.

5. Under the stipulation to receive the name of RCAFPA, no other class of membership is available.

6. Application for admission as membership in the not-for-profit Corporation shall be in a form prescribed by the Corporation and held in a manner prescribed by the Corporation. Application for admission complete with fee and further approval of the Board of Directors of the Corporation shall constitute a membership in the Corporation. Membership dues may be paid by cash, cheque, money order, electronically or such other means as may be approved by the Board of Directors. 

7. Annual membership dues/fees will be set at the discretion of the Corporation. The Corporation shall provide a membership card which remains the property of the Corporation to paid up members in good standing. Said card shall be surrendered by the member to the Corporation in a manner to be determined by the Corporation if a member is terminated under Bylaw 11.

8. Membership dues/fees shall be paid from January first through December thirty first each year, except the introductory membership which is a (6) month membership sold at ½ price and/or unless a member pays for more than one year at a time.  

9. The Corporation may hold the member liable for renewal dues/fees even though the member may not have been approached in any manner to pay the dues/fees owing by the Corporation.

10. The Corporation may waive a member due/fee by a majority vote of the Board of Directors.

11. The membership shall terminate upon the occurrence of any of the following events:

A. The resignation or death of the member;

B. Directors of the Corporation - By delivering to the Corporation a written resignation and lodging a copy of the same with the secretary of the Corporation;

C. The failure to pay dues within the time set forth by the Corporation. A 60 day leniency period will be observed prior to actual account termination;

D. The Corporation determines that any member has failed in a material and serious degree to observe common rules of conduct governing membership in the corporation. A majority of Directors of the corporation not having a conflict of interest shall constitute a quorum and by appointment fill a Director vacancy with a member in good standing of the Corporation. Bylaw 66 will be observed.

12. Any Director may be required to resign by majority vote of the voting members at any time.

13. If dues are received with an application and the application is declined for any reason by the Corporation, the fee paid shall be returned to the applicant.

14. A Life Membership may be conferred upon any member by majority vote of the Board of Directors of the corporation.

15. Any member proclaimed under Bylaw 14 shall no longer be liable for payment of annual dues/fees.
